Terms of Use

These Terms of Use ("Terms") govern your access to and use of the "appoint my doctor" website and mobile application (collectively, the "Platform") provided by Medisetu Ventures Private Limited ("Company," "we," "us," or "our"). By accessing or using the Platform, you signify your agreement to be bound by these Terms, our Privacy Policy, and any other policies referenced herein. Please read these Terms carefully before using the Platform. If you do not agree to these Terms, you may not access or use the Platform.

1. INTRODUCTION

1.1. Medisetu Ventures Private Limited, a company duly incorporated under the provisions of the Companies Act, 2013, having its registered office at Plot 25-A, Balaji Vihar 40, Niwaru Road, Jhotwara, Jaipur (302012), operates the "appoint my doctor" Platform. This Platform is designed to facilitate the booking and scheduling of medical appointments, provide information about clinics and healthcare professionals, and promote healthcare services.

1.2. These Terms constitute a legally binding agreement between you, the user, and Medisetu Ventures Private Limited. Your use of the Platform is conditioned upon your acceptance of and compliance with these Terms.

2. DEFINITIONS

2.1. "Company," "we," "us," or "our" refers to Medisetu Ventures Private Limited.

2.2. "Platform" refers to the "appoint my doctor" website and mobile application.

2.3. "User," "you," or "your" refers to any individual or entity accessing or using the Platform.

2.4. "Services" refers to the features and functionalities offered through the Platform, including but not limited to appointment booking, scheduling, clinic promotion, and related informational services.

2.5. "Content" refers to all information, data, text, software, music, sound, photographs, graphics, video, messages, or other materials displayed, uploaded, or transmitted on the Platform.

2.6. "Personal Data" refers to any information relating to an identified or identifiable natural person, as defined under applicable Indian data protection laws.

2.7. "Healthcare Professional" refers to doctors, clinics, hospitals, and other medical practitioners or entities registered on the Platform.

3. ACCEPTANCE OF TERMS

3.1. By registering for, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and all other policies incorporated by reference. Your continued use of the Platform after any modifications to these Terms constitutes your acceptance of the revised Terms.

3.2. You affirm that you are of legal age to form a binding contract and are not a person barred from receiving services under the laws of India or other applicable jurisdiction. If you are accessing or using the Platform on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms.

4. ELIGIBILITY

4.1. The Platform is intended for use by individuals who are at least 18 years old and capable of entering into legally binding contracts. If you are under 18 years of age, you may use the Platform only with the involvement and consent of a parent or legal guardian.

4.2. By using the Platform, you represent and warrant that you meet these eligibility requirements. The Company reserves the right to terminate your access to the Platform if it discovers that you do not meet the eligibility criteria.

5. USER ACCOUNTS AND REGISTRATION

5.1. To access certain features of the Platform, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

5.2. You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. The Company shall not be liable for any loss or damage arising from your failure to comply with this section.

6. SERVICES OFFERED

6.1. The Platform provides an intermediary service to connect users with Healthcare Professionals for appointment booking and scheduling. It also serves as a platform for the promotion of clinics and healthcare services.

6.2. The Company acts solely as a facilitator and does not provide medical advice, diagnosis, or treatment. Any information provided on the Platform is for informational purposes only and should not be considered a substitute for professional medical advice. Users are solely responsible for their interactions with Healthcare Professionals found through the Platform.

7. USER OBLIGATIONS AND CONDUCT

7.1. You agree to use the Platform only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Platform by, any third party.

7.2. You shall not upload, post, or transmit any Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.

7.3. You agree not to impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.

7.4. You shall not engage in any activity that interferes with or disrupts the Platform or the servers and networks connected to the Platform.

8. DATA PRIVACY AND PROTECTION

8.1. The Company is committed to protecting your privacy and handling your Personal Data in a transparent and secure manner. We collect, use, store, and disclose user data, including but not limited to personal identification details, health-related information, appointment history, and communication data, for the purposes of facilitating appointment booking, scheduling, providing personalized services, and promoting clinics and healthcare services. The collection and processing of such data are essential for the effective operation of the Platform and the provision of its core services.

8.2. Your explicit consent is obtained for the collection and processing of your Personal Data, particularly Sensitive Personal Data, in accordance with applicable Indian data protection laws. 9.2. You may not reproduce, duplicate, copy, sell, resell, or exploit any portion of the Platform, use of the Platform, or access to the Platform without express written permission from the Company.

10. DISCLAIMERS AND LIMITATION OF LIABILITY

10.1. The Platform and the Services are provided on an "as is" and "as available" basis. The Company makes no representations or warranties of any kind, express or implied, as to the operation of the Platform or the information, Content, materials, or products included on the Platform.

10.2. The Company does not warrant that the Platform will be uninterrupted, timely, secure, or error-free, or that defects will be corrected. We do not guarantee the accuracy or completeness of any information provided by Healthcare Professionals or other users on the Platform.

10.3. To the fullest extent permissible by applicable law, the Company disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose.

10.4. In no event shall the Company be liable for any direct, indirect, incidental, special, punitive, or consequential damages whatsoever, including without limitation, damages for loss of profits, data, or other intangibles, arising out of or in any way connected with the use or performance of the Platform or the Services.

11. INDEMNIFICATION

11.1. You agree to indemnify, defend, and hold harmless Medisetu Ventures Private Limited, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your (or anyone using your account's) violation of these Terms or any applicable law or regulation.

12. TERMINATION

12.1. The Company reserves the right, in its sole discretion, to suspend or terminate your account and refuse any and all current or future use of the Platform, at any time and for any reason, without prior notice or liability.

12.2. You may terminate your account at any time by following the instructions on the Platform. Upon termination, your right to use the Platform will immediately cease.

13. GOVERNING LAW AND DISPUTE RESOLUTION

13.1. These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

13.2. Any dispute or claim arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Jaipur, Rajasthan, and the language of the arbitration shall be English.

13.3. Subject to the arbitration clause above, the Courts in Jaipur, Rajasthan shall have exclusive jurisdiction to entertain any suit or proceeding arising out of these Terms.

14. AMENDMENTS TO TERMS

14.1. The Company reserves the right to modify or revise these Terms at any time, in its sole discretion, by posting the updated Terms on the Platform. We will notify you of any material changes by posting a notice on the Platform or by sending an email to your registered email address.

14.2. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically for any updates.

15. SEVERABILITY

15.1. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the invalidity or unenforceability of such provision shall not affect the validity or enforceability of the remaining provisions, which shall remain in full force and effect.

16. ENTIRE AGREEMENT

16.1. These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Medisetu Ventures Private Limited concerning your use of the Platform and supersede all prior or contemporaneous communications, whether electronic, oral, or written, between you and the Company.
